Terms of Service

These Terms of Service (“Terms”) govern your access to and use of GxReel, including the GxReel website, mobile applications, short-drama viewing services, accounts, virtual Coins, subscriptions, advertising rewards, content-unlocking functions, promotional programs, and any related services operated by us.

GxReel is operated by Hong Kong Hanyunxing Culture Technology Limited, with its registered address at RM 701, UNIT 108, 7/F, TWR B, NEW MANDARIN PLAZA, 14 SCIENCE MUSEUM RD, TSIM SHA TSUI, HK. In these Terms, “GxReel,” “we,” “us,” and “our” refer to Hong Kong Hanyunxing Culture Technology Limited. “You” and “user” refer to any person who accesses or uses GxReel.

Please read these Terms carefully. By creating an account, accessing or browsing GxReel, purchasing Coins, unlocking content, starting a subscription, participating in a GxReel promotional program, watching advertisements in exchange for rewards, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use GxReel.

These Terms incorporate by reference our Privacy Policy, Refund Policy, Cookie Policy, purchase-page disclosures, subscription terms, promotional-program rules, and any other policies or notices displayed through GxReel.

1. Eligibility and Minimum Age

You must be at least 13 years old to create an account or use GxReel.

If the laws of your country or region require a higher minimum age to use online services, access particular content, or consent to the processing of personal information, you must satisfy that higher minimum age.

If you are under the legal age of majority in your country or region, you may use GxReel only with the knowledge and consent of your parent or legal guardian. Your parent or legal guardian is responsible for supervising your use of GxReel and authorizing any purchase you make.

Some dramas or other content may be subject to higher age ratings, parental controls, or regional restrictions. You may not access content if you do not satisfy the applicable age requirement.

GxReel is not directed to children under 13. If we reasonably believe that an account belongs to a child under 13, we may restrict, suspend, or delete the account and associated personal information, subject to applicable law.

2. Service Availability and Restricted Regions

GxReel may be made available only in selected countries and regions.

GxReel is not offered or made available to users located in Mainland China. You must not access or attempt to access GxReel from Mainland China.

We may restrict, block, suspend, or discontinue access in any country or region due to legal requirements, licensing restrictions, content rights, sanctions, payment limitations, app-store requirements, technical conditions, security concerns, or business considerations.

You must not use a virtual private network, proxy server, false location information, account manipulation, or other technical means to bypass geographic, licensing, payment, or content-access restrictions.

We do not represent that GxReel or any particular content is lawful, available, or appropriate in every country or region.

3. Accounts

GxReel may automatically create a guest or temporary account identifier when you first use certain versions of the Services. A guest account may allow limited viewing or other functions before you register or link an email address or third-party login. Certain account, purchase, recovery, or cross-device functions may require you to complete registration or link an available login method.

Certain features may require you to create an account.

1. Provide accurate, current, and complete registration information.

2. Keep your account information updated.

3. Maintain the confidentiality of your password, verification codes, and login credentials.

4. Use only accounts that belong to you or that you are authorized to use.

5. Promptly notify us of any suspected unauthorized access or security breach.

6. Remain responsible for activity conducted through your account, except where applicable law provides otherwise.

3.1 Prohibited Account Practices

We may require additional verification when reasonably necessary to protect account security, prevent fraud, process refunds, comply with law, or investigate suspicious activity.

1. Creating an account using false, misleading, stolen, or unauthorized information.

2. Impersonating another person or organization.

3. Selling, renting, lending, transferring, sublicensing, or commercially exploiting an account.

4. Creating multiple accounts to obtain improper promotional benefits.

5. Sharing an account in a manner that circumvents payment, regional, device, or access restrictions.

6. Allowing a suspended or terminated user to access GxReel through your account.

4. GxReel Services

GxReel may provide services including:

1. Free short-drama episodes or previews.

2. Single-episode unlocking.

3. Full-drama unlocking.

4. Virtual Coin purchases.

5. Subscriptions.

6. Advertising-supported content or rewards.

7. Content recommendations, including personalized recommendations where implemented.

8. Subtitles, dubbing, and localized content.

9. Watch history, favorites, and account-management functions.

10. Promotional activities and rewards.

11. Customer-support services.

12. Web-based and application-based viewing services.

Some features listed above may not currently be available and may be introduced, changed, suspended, or withdrawn in the future.

The availability, price, language, subtitle, dubbing, episode count, access method, and duration of particular content may vary by account, device, operating system, payment channel, country, region, promotion, or licensing arrangement.

5. Content Access and Viewing License

All dramas, episodes, videos, audio, subtitles, dubbing, images, text, graphics, logos, interfaces, software, databases, and other materials made available through GxReel are owned by or licensed to GxReel and its content partners.

Subject to your compliance with these Terms, GxReel grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and view available content through GxReel for your private, non-commercial entertainment use.

Purchasing Coins, unlocking an episode, unlocking a drama, or starting a subscription does not transfer ownership of the content to you.

You receive only the applicable right to access the content through GxReel, subject to these Terms, applicable purchase or subscription terms, content-licensing rights, regional availability, technical compatibility, account status, and applicable law.

You may not copy, record, capture, download, reproduce, redistribute, publicly display, sell, rent, transmit, modify, translate, extract, or commercially exploit GxReel content except where expressly authorized by us.

6. Coins

6.1 Types of Coins

GxReel may provide Paid Coins, which are acquired through a purchase, and Promotional Coins, which are granted without separate payment, including through promotions, advertisements, referral programs, promotional programs, events, customer-service adjustments, or as a bonus associated with a Coin package.

Paid Coins and Promotional Coins may be displayed together or separately within your account. Our transaction records will determine the source, type, balance, and use of Coins.

6.2 Nature of Coins

Coins are virtual items that may be used only within GxReel for eligible digital content or features.

1. Coins are not legal currency.

2. Coins are not electronic money, a bank deposit, or a stored-value payment instrument.

3. Coins have no cash value outside GxReel.

4. Coins do not represent an ownership interest in GxReel.

5. Coins may not be transferred, sold, traded, gifted, assigned, exchanged, pledged, or withdrawn.

6. Coins may not be used outside GxReel.

7. Coins may not be purchased or used for speculation, resale, money transmission, or other financial purposes.

6.3 Coin Prices

Coin packages, prices, currencies, taxes, fees, and promotional bonuses will be displayed at the time of purchase.

Prices may vary according to country, region, device, operating system, app store, payment provider, tax treatment, currency, promotion, or other commercial factors.

Coin packages do not necessarily correspond to a fixed exchange rate between Coins and any currency.

6.4 Coin Expiration

Paid Coins do not expire solely due to the passage of time. Promotional Coins may be subject to an expiration date or validity period where that expiration or validity period is clearly disclosed when the Promotional Coins are granted. If no expiration or validity period is disclosed, those Promotional Coins will not expire solely due to the passage of time.

6.5 Order of Coin Use

When both Promotional Coins and Paid Coins are available, GxReel will deduct Promotional Coins before Paid Coins. Transaction records maintained by GxReel will determine which Coins were consumed.

6.6 Coin Adjustments

We may correct a Coin balance where an error, duplicate credit, payment reversal, refund, chargeback, fraud, system malfunction, or promotional abuse has occurred. We will not intentionally remove legitimately purchased Coins without a valid reason, except where permitted by these Terms or required by applicable law.

7. Unlocking Content

GxReel may permit content to be accessed through free viewing, single-episode unlocking with Coins, full-drama unlocking with Coins, subscription access, advertisement-based unlocking, Promotional Coins, or other access methods displayed through the Services.

The applicable price and access terms will be displayed before you complete a transaction.

Unless otherwise stated, an episode or drama unlocked with Coins may be viewed through the applicable GxReel account while the content remains available, the account remains active, and GxReel retains the necessary rights to provide the content.

Unlocking content does not guarantee that the content will remain available permanently.

By requesting immediate access to digital content, you expressly request that delivery or performance begin immediately. To the maximum extent permitted by applicable law, you acknowledge that any statutory cancellation or withdrawal right relating to the digital content may end once delivery or access begins.

8. Subscriptions

GxReel may in the future offer recurring or non-recurring subscriptions.

1. The subscription price.

2. The billing period.

3. The features or content included.

4. Whether the subscription automatically renews.

5. Any free-trial or introductory period.

6. How to cancel.

7. Any other material limitations.

If you purchase an automatically renewing subscription, you authorize the applicable payment provider or app store to charge the subscription fee at the beginning of each billing period until the subscription is cancelled.

You must cancel before the applicable renewal deadline to avoid being charged for the next billing period.

Deleting the GxReel application or ceasing to use the Services does not automatically cancel an active subscription.

Subscriptions purchased through Apple, Google Play, or another app store must generally be managed and cancelled through the applicable store account.

Unless otherwise required by law or applicable store rules, cancellation takes effect at the end of the current paid billing period, access continues until the end of that billing period, and no prorated refund is provided for a partially used billing period.

We may change subscription prices or features by providing notice in the manner required by applicable law and app-store rules.

9. Advertising Rewards and Promotional Access

GxReel may allow users to obtain Promotional Coins, temporary access, episode access, or other benefits by viewing advertisements or completing promotional activities.

1. Advertising rewards are promotional benefits and not purchased property.

2. Advertising rewards have no cash value.

3. Rewards may be subject to eligibility, frequency, regional, device, account, or technical limitations.

4. Rewards may fail to be granted if an advertisement or activity is not completed, properly tracked, or validated.

5. Rewards may be withheld or reversed in cases of automated viewing, manipulation, multiple-account abuse, device farming, false traffic, or other improper conduct.

6. Advertising rewards do not create an entitlement to a cash refund.

Advertisement-based unlocking is not a paid transaction and is not eligible for a monetary or Coin refund solely because the applicable content is later removed or becomes unavailable.

10. GxReel Promotion Program

GxReel may offer a promotional program through which eligible users create and publish edited promotional videos or other promotional materials using clips, free episodes, media assets, or other materials that GxReel expressly makes available or authorizes for that purpose.

Participation in a promotional program is governed by separate GxReel Promotion Program Terms, campaign rules, content guidelines, and any instructions displayed for the applicable campaign. Participation is voluntary and does not create an employment, agency, partnership, or guaranteed compensation relationship with GxReel.

Permission to use promotional materials is limited to the scope, platforms, territories, formats, and campaign period expressly authorized by GxReel. It does not authorize the use of paid episodes, unreleased content, full dramas, third-party music, or other materials outside the permitted scope.

Promotional rewards may be determined by content quality, originality, compliance, authenticity, audience response, verified performance, and other campaign criteria. GxReel does not guarantee that any submission will be approved or rewarded.

Any Coins awarded through a promotional program are Promotional Coins, have no cash value, are non-transferable, and are governed by Section 6 and the applicable promotional-program rules.

GxReel may reject, withhold, reverse, or recover promotional rewards where content or performance data is fraudulent, manipulated, duplicated, plagiarized, infringing, misleading, unlawful, non-compliant, or generated through fake accounts, bots, purchased traffic, or other abusive methods.

Where participation requires you to submit or link to promotional content, you grant GxReel and its affiliates a non-exclusive, worldwide, royalty-free license to review, verify, display, reproduce, repost, distribute, translate, adapt, and use that promotional content for administering, publicizing, and evaluating the applicable program, subject to the specific program rules and applicable law.

11. Payments and Billing

Payment methods may vary by device, operating system, country, region, app store, currency, and payment provider.

Purchases made through the GxReel website may be processed by third-party providers such as payment-card processors, PayPal, Stripe, or other available payment services.

Purchases made through an iOS application may be processed through Apple’s permitted or required payment systems. Purchases made through an Android application distributed through Google Play may be processed through Google Play’s permitted or required payment systems.

Your transaction may also be governed by the applicable app store’s or payment provider’s terms, billing rules, refund process, tax treatment, and dispute procedures.

You authorize the applicable payment provider to charge the displayed purchase amount, including applicable taxes and fees.

1. Ensure your payment information is accurate.

2. Ensure you are authorized to use the payment method.

3. Ensure sufficient funds or credit are available.

4. Ensure any purchase made by a minor has been authorized by the responsible parent or guardian.

GxReel is not responsible for fees charged by your bank, card issuer, currency-conversion provider, app store, or other third party.

12. Refunds

Refunds, Coin returns, subscription cancellations, payment reversals, and account-closure refunds are governed by our Refund Policy, the applicable purchase-page terms, mandatory law, and any applicable app-store or payment-provider rules.

Except where required by applicable law or expressly provided in these Terms or the Refund Policy, purchases of Coins and subscriptions, and transactions using Coins to unlock episodes or dramas, are final once delivered, credited, accessed, consumed, or activated.

Refunds will generally not be provided where the issue results from user error, change of mind, accidental purchase, selection of the wrong Coin package, failure to use Coins or a subscription, failure to cancel a subscription, dissatisfaction with content, loss of access caused by the user’s account or device management, use from a restricted region, violation of these Terms, fraud, abuse, piracy, payment manipulation, promotional-program manipulation, or an unauthorized or abusive chargeback.

The fact that Paid Coins remain unused does not by itself create a right to a refund. Eligible unused Paid Coins may, however, be refundable when a user voluntarily closes an account in accordance with Section 14 and the Refund Policy. Promotional Coins are not refundable or exchangeable for cash.

Requests concerning eligible web purchases, including duplicate charges, missing Coins, verified technical errors, or unauthorized purchases, should be submitted to [refund@gxreel.com] in accordance with the procedures and time limits stated in the Refund Policy.

Purchases and subscriptions processed through Apple, Google Play, or another app store are subject to the applicable store’s refund systems, rules, technical capabilities, and decisions.

Where a Full-Drama Unlock made with Coins is permanently removed, the limited Coin-return remedy in Section 13 may apply if the paid content has not been Materially Viewed.

Individual episode unlocks, subscription access, free access, advertisement-based access, access obtained entirely with Promotional Coins, and promotional or temporary access are not eligible for a refund or Coin return solely because the applicable content is later removed or becomes unavailable, unless mandatory applicable law requires otherwise.

We may first attempt to correct an issue by delivering missing Coins, restoring access, correcting a transaction, returning incorrectly deducted Coins, extending access, or providing another reasonable remedy. A discretionary refund, credit, replacement, or other remedy in one case does not create an obligation to provide the same remedy in another case.

13. Content Removal and Unavailability

GxReel may temporarily or permanently modify, suspend, restrict, remove, or replace any drama, episode, subtitle, dubbing track, or other content because of:

  1. expiration or termination of licensing rights;
  2. a request from a content owner or rights holder;
  3. a copyright, contractual, or other legal claim;
  4. regulatory, governmental, or app-store requirements;
  5. regional or licensing restrictions;
  6. technical, security, or content-policy concerns; or
  7. business and operational decisions.

13.1 Temporary Unavailability

Temporary outages, maintenance, technical failures, playback interruptions, subtitle issues, server interruptions, licensing reviews, or temporary content suspensions do not normally qualify for a refund or Coin return.

We may attempt to restore access, correct the issue, extend an applicable access period, or provide another reasonable remedy.

If temporarily unavailable content later becomes permanently unavailable, the rules in Section 13.2 will apply.

13.2 Permanently Removed Full-Drama Unlocks

If a drama unlocked through a Full-Drama Unlock is permanently removed and cannot reasonably be restored, GxReel will return the Coins actually deducted for that Full-Drama Unlock only where all of the following conditions are satisfied:

  1. you used Coins through an option expressly identified by GxReel as a Full-Drama Unlock;
  2. the removal was not caused by your conduct, account status, violation of these Terms, or use from a restricted region;
  3. the paid content has not been Materially Viewed;
  4. the access was not obtained entirely with Promotional Coins; and
  5. no other exclusion under these Terms or the Refund Policy applies.

The remedy under this Section is a return of the Coins actually deducted, not a cash refund.

Returned Coins do not expire solely because of the passage of time.

13.3 Material Viewing

A Full-Drama Unlock is considered “Materially Viewed” if system records show either:

  1. more than 10% of the paid episodes included in the Full-Drama Unlock have been started or completed; or
  2. total playback time exceeds 10% of the total running time of the paid content included in the Full-Drama Unlock.

We may use watch history, episode starts and completions, playback duration, playback progress, completion status, and other reliable system records to determine whether content has been Materially Viewed.

A Coin return will not be provided if either of the above 10% thresholds has been exceeded.

13.4 Access Methods Not Covered

Unless mandatory applicable law requires otherwise, the Coin-return remedy in Section 13.2 does not apply to:

  1. individual episode unlocks;
  2. subscription access;
  3. free content;
  4. advertisement-based access;
  5. promotional or temporary access;
  6. access obtained entirely with Promotional Coins; or
  7. content that became inaccessible because of your conduct, account status, geographic location, or violation of these Terms.

For these access methods, we may provide replacement content, Promotional Coins, an access extension, or another discretionary remedy, but we are not required to do so unless applicable law provides otherwise.

14. Account Closure Requested by You

You may request deletion or closure of your GxReel account through the available account settings or by contacting customer support.

Before closing your account, we may require reasonable identity, account-ownership, transaction, or fraud-prevention verification using information associated with your account.

When your account is closed, your right to access GxReel will end, your watch history and preferences may be deleted or anonymized in accordance with our Privacy Policy, access to previously unlocked content may end, and Promotional Coins will be cancelled without cash refund.

Unused Paid Coins purchased directly through the GxReel website may be eligible for refund to the original payment method in accordance with the Refund Policy, subject to verification, payment-provider availability, fraud controls, and applicable law.

Paid Coins purchased through Apple, Google Play, or another app store are subject to the applicable store’s refund process and decision.

Where Promotional Coins were granted as part of a paid Coin package and were consumed before the associated Paid Coins, we may calculate the refundable amount based on the remaining net economic value of the package rather than solely on the displayed Paid Coin balance.

No refund will be provided where the account-closure request forms part of fraudulent, abusive, manipulative, or repeated purchase-and-refund conduct.

15. Suspension and Termination by GxReel

We may suspend, restrict, disable, or terminate your account or access where we reasonably believe that:

1. You violated these Terms or another GxReel policy.

2. You engaged in fraud, piracy, scraping, hacking, payment abuse, chargeback abuse, account trading, or promotional manipulation.

3. Your account creates legal, financial, payment, security, reputational, or operational risk.

4. Your payment was unauthorized, reversed, cancelled, or disputed.

5. You attempted to bypass geographic, technical, content, or payment restrictions.

6. You infringed the rights of GxReel, a content owner, another user, or a third party.

7. Your continued use may harm GxReel, its users, its partners, or the Services.

8. We are required to act by law, court order, governmental authority, app store, payment provider, or rights holder.

15.1 Termination Caused by User Misconduct

Where an account is suspended or terminated because of your material violation, fraud, abuse, unauthorized conduct, piracy, payment misconduct, or manipulation of a promotional program, no refund will be provided, unused Paid Coins and Promotional Coins may be forfeited, and access to previously unlocked content may be cancelled, subject to applicable law.

15.2 Termination Not Caused by the User

Where we permanently close an account for reasons not caused by you, we will provide any refund or other remedy required by applicable law and may otherwise provide a reasonable discretionary remedy, including refunding eligible unused Paid Coins.

15.3 Immediate Action

We are not required to provide advance notice where immediate action is reasonably necessary to prevent harm, fraud, unlawful conduct, security threats, or legal exposure.

16. Prohibited Conduct

You must not:

1. Copy, record, screen-capture, download, reproduce, distribute, sell, rent, upload, transmit, broadcast, or publicly display GxReel content without authorization.

2. Bypass paywalls, Coin systems, digital-rights management, access controls, regional restrictions, content limits, or technical-protection measures.

3. Use bots, scripts, crawlers, scrapers, emulators, automated viewing systems, reverse-engineering tools, or other unauthorized automated processes.

4. Modify, decompile, disassemble, decode, reverse engineer, or attempt to derive source code from GxReel software.

5. Interfere with or disrupt the Services, servers, networks, databases, security systems, advertising systems, or payment systems.

6. Create fake traffic, fake views, fake advertising completions, or artificial engagement.

7. Exploit errors, vulnerabilities, promotions, refunds, Coin grants, or pricing mistakes.

8. Use stolen, unauthorized, false, or manipulated payment information.

9. Engage in money laundering, payment fraud, refund fraud, chargeback abuse, or other financial misconduct.

10. Create, acquire, or operate multiple accounts to obtain improper rewards or avoid restrictions.

11. Sell, transfer, rent, share, or commercially exploit an account.

12. Upload, transmit, or distribute malware, viruses, harmful code, spam, or unlawful material.

13. Impersonate another person or misrepresent your identity, age, location, or authority.

14. Harass, threaten, exploit, or harm another person.

15. Infringe copyrights, trademarks, privacy rights, publicity rights, or other rights.

16. Use GxReel for unauthorized commercial screenings or public exhibitions.

17. Use GxReel in violation of sanctions, export controls, or other applicable laws.

18. Encourage, assist, or enable another person to engage in prohibited conduct.

17. Intellectual Property

GxReel, its software, branding, logos, interfaces, designs, databases, recommendation systems, and service materials are protected by copyright, trademark, database, unfair-competition, and other intellectual-property laws.

Except for the limited viewing or promotional right expressly granted under these Terms or separate program rules, no right, title, or interest in GxReel or its content is transferred to you.

You may not use the GxReel name, logo, domain, trade dress, or branding without prior written authorization.

If you believe content available through GxReel infringes your rights, contact support@gxreel.com and provide sufficient information to identify the protected work, the allegedly infringing content, your authority, and your contact details.

18. Third-Party Services

GxReel may contain links to, integrations with, advertisements from, or services provided by third parties.

Third-party services may have separate terms and privacy practices. GxReel does not control and is not responsible for third-party services, except to the extent required by applicable law.

Your use of an app store, payment processor, advertising provider, analytics provider, social login, device platform, or external website may be subject to that third party’s terms.

19. Service Changes and Availability

We may update, modify, improve, replace, suspend, limit, or discontinue any part of GxReel, including dramas or episodes, features, Coin packages, prices, subscriptions, promotional programs, recommendation systems, advertisements, payment methods, languages and subtitles, supported devices, and geographic availability.

We do not guarantee that any particular drama, episode, actor, subtitle, dubbing track, language, feature, price, promotion, device, or payment method will remain available.

We may perform scheduled or emergency maintenance. Interruptions may occur because of network failures, third-party services, technical issues, security events, force majeure, or other circumstances.

20. Privacy

Our collection, use, retention, sharing, protection, and deletion of personal information are governed by our Privacy Policy.

By using GxReel, you acknowledge that personal information may be processed as described in the Privacy Policy, subject to applicable law.

The Privacy Policy is separate from these Terms but should be read together with them.

21. Disclaimers

To the maximum extent permitted by applicable law, GxReel is provided on an “as is” and “as available” basis.

We do not guarantee that the Services will always be uninterrupted, secure, accurate, or error-free; that every drama or feature will remain available; that all content will be available in every language, country, region, or device; that recommendations will match your preferences; that technical defects will always be corrected immediately; or that third-party payment, app-store, advertising, or network services will operate without interruption.

Content available through GxReel is provided for entertainment purposes. We do not endorse or guarantee every view, statement, depiction, or theme contained in fictional content.

Nothing in these Terms excludes any warranty, guarantee, condition, remedy, or consumer right that cannot lawfully be excluded.

22. Limitation of Liability

To the maximum extent permitted by applicable law, GxReel and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, including loss of profits, business, opportunity, goodwill, data, or anticipated savings.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to GxReel or these Terms will not exceed the greater of the amount you paid directly to GxReel during the 12 months preceding the event giving rise to the claim or USD 100.

These limitations do not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, fraudulent misrepresentation, wilful misconduct, or any other liability that applicable law requires us to retain.

Some jurisdictions do not permit particular liability exclusions or limitations. In those jurisdictions, the exclusions and limitations apply only to the maximum extent permitted by law.

23. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless GxReel and its affiliates, directors, officers, employees, licensors, and service providers from claims, liabilities, damages, losses, and reasonable costs arising from your material violation of these Terms, unlawful or unauthorized use of GxReel, infringement of another person’s rights, fraudulent or abusive conduct, or promotional content submitted by you.

This section does not require you to indemnify GxReel for GxReel’s own fraud, wilful misconduct, or liability that cannot legally be transferred to you.

24. Governing Law and Disputes

These Terms and any dispute or claim arising out of or relating to these Terms or GxReel will be governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

The courts of the Hong Kong Special Administrative Region will have non-exclusive jurisdiction over disputes arising from or relating to these Terms or GxReel.

Nothing in these Terms prevents you from bringing a claim in another court where applicable mandatory law permits you to do so, excludes or limits any mandatory consumer-protection right available in your country or region, or requires you to waive a legal right that cannot lawfully be waived.

Before commencing formal proceedings, you and GxReel are encouraged to attempt to resolve the dispute in good faith by contacting the other party and providing reasonable details of the issue.

25. Changes to These Terms

We may amend these Terms to reflect changes in the Services, business models, payment methods, app-store requirements, legal or regulatory obligations, security practices, content-licensing arrangements, or operational needs.

The updated Terms will state a new “Last Updated” date.

Where a change is material, we may provide notice through GxReel, by email, through an account notification, or by another reasonable method.

Unless otherwise stated, updated Terms become effective when posted or on the effective date identified in the notice.

Your continued use of GxReel after the updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires additional consent.

26. Electronic Communications

You agree that agreements, notices, disclosures, receipts, confirmations, and other communications may be provided electronically through email, in-app messages, account notifications, website notices, or other electronic means associated with your account.

Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by applicable law.

You are responsible for keeping your email address current and checking notices provided through your account.

27. General Provisions

27.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, purchase terms, subscription terms, promotional-program terms, and other incorporated policies, constitute the agreement between you and GxReel regarding the Services.

27.2 Conflict of Terms

Where transaction-specific or program-specific terms conflict with these Terms, the more specific terms will apply to that transaction or program to the extent of the conflict. Mandatory app-store, payment-provider, or consumer-protection rules will apply where they cannot lawfully be excluded.

27.3 Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum lawful extent or severed, and the remaining provisions will remain effective.

27.4 No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

27.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms as part of a merger, acquisition, restructuring, asset transfer, financing, or transfer of the GxReel business, subject to applicable law.

27.6 No Third-Party Beneficiaries

Except where expressly stated, these Terms do not create rights for any third party.

27.7 Force Majeure

We will not be responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, war, civil unrest, epidemics, government action, telecommunications failures, internet disruption, power outages, cyberattacks, labor disputes, app-store action, payment-provider failure, or content-rights restrictions.

27.8 Headings

Section headings are included for convenience and do not affect interpretation.

27.9 Language

These Terms are written in English. Any translation is provided for convenience only. To the extent permitted by applicable law, the English version will control in the event of inconsistency between the English version and a translated version.
